BoxLock Terms of Service

1. Your Eligibility; Your Responsibility

You must be at least 18 years of age to access and use the Services. By accessing or using the Services, you represent and warrant that you are at least 18 years of age.

2. Account

2.1 Accuracy. In creating a BoxLock account, you agree to provide accurate and complete information about yourself and keep such information up-to-date.

2.2 Account. You are responsible for any activity that occurs through your account. Your account is for your use only. We are not responsible for any loss or damage arising from your failure to maintain the confidentiality of your account password.

2.3 Feedback. In the event you provide feedback or suggestions to BoxLock regarding the Services, you grant BoxLock the right to use your feedback without restriction.

3. Personal Use; Limited License; Ownership

Subject to these Terms of Service, BoxLock grants you a personal, non-transferable, non-exclusive, revocable, limited license to use and access the Services solely for your own use and as permitted by the features of the Services.

This license is personal to you. If you are using the Services on behalf of an entity, you must have authority to accept these Terms of Service on behalf of such entity.

Furthermore, without prior written approval from BoxLock, you may not copy, modify, distribute, sell, lease, sublicense, or otherwise provide access to the Services or any part thereof to anyone.

You agree not to remove, alter, or obscure any proprietary notices contained in the Services.

The Services, and all copies thereof, are and will remain the exclusive property of BoxLock and its licensors.

Making unauthorized copies of the Services or any part thereof is prohibited by law. Violators will be subject to prosecution and may be subject to civil penalties and damages.

BoxLock is not liable for any unauthorized use or duplication of any information in the Services.

4. Fees

If you purchase any Services that we offer for a fee, you agree to pay BoxLock the applicable fees and taxes.

We may charge you interest on any late payments. You may be responsible for all costs of collection in case of delinquency including, without limitation, reasonable attorneys' fees.

If you purchase a subscription, your subscription will automatically renew at the end of each subscription period, unless you cancel at least 30 days before the end of the subscription period.

For any upgrade or downgrade in subscription level, your credit card will automatically be charged the new rate.

If you fail to pay the fees for the Services, BoxLock may terminate or suspend your access to the Services.

Your purchase may be subject to additional terms and conditions which you must accept before payment.

5. Third-Party Content and Websites

The Services may contain links to third-party websites and content that are not owned or controlled by BoxLock.

BoxLock has no control over, and assumes no responsibility for, any third-party content, privacy policies, or practices of any third-party websites or services.

You are responsible for reading and understanding the terms and conditions and privacy policies of any third-party website or service you visit.

You expressly release BoxLock from any and all liability arising from your use of any third-party website or service.

6. Acceptable Use Policy

You agree not to use the Services or Platform in any way that may harm the Services, BoxLock, or any third parties.

You agree not to engage in any of the following prohibited activities:

• Use of the Services or Platform to send spam (junk mail or unsolicited communications).
• Use of the Services or Platform to transmit worms or viruses or any code of a destructive nature.
• Use of the Services or Platform to violate the security or integrity of any network, computer, or communications system, software application, or network or computing device.
• Attempting to access the Platform or Services without authorization.
• Use of the Services or Platform to collect or store personal data about other users without their knowledge.
• Use of the Services or Platform to misrepresent or impersonate any individual or business.
• Use of the Services or Platform to interfere with or disrupt the integrity or performance of the Services or Platform.

7. Right to Restrict or Terminate Access

BoxLock reserves the right to limit, suspend, or terminate your account at any time for violations of these Terms of Service or any other reason at BoxLock's sole discretion.

8. Security

BoxLock uses commercially reasonable technical and organizational measures to protect the Services and your data from unauthorized access, destruction, use, modification, or disclosure.

You understand that communications to or from the Services may be sent over networks that may not be secure and may be transferred over various jurisdictions.

9. Warranty

If you are not satisfied with the Services, you may terminate your use. The sole and exclusive remedy for any problem or dissatisfaction with the Services is to stop using the Services.

At our discretion, we may either (i) correct or attempt to correct any issue with the Services or (ii) terminate your account and refund any unused portion of your subscription fees.

10. Disclaimer of Other Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

BoxLock and its suppliers expressly disclaim any warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

BoxLock does not warrant that the Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

In no event will BoxLock, or its directors, employees, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

In no event will BoxLock's total cumulative liability to you for all claims arising out of or related to these Terms of Service exceed $100.

12. Indemnity

You agree to defend, indemnify, and hold harmless BoxLock, its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, and expenses, including attorneys' fees, arising out of or related to your use of the Services or your violation of these Terms of Service.

13. Dispute Resolution

All disputes or claims arising out of or related to these Terms of Service shall be resolved by binding arbitration. You acknowledge you and BoxLock are each waiving the right to a trial by jury or to participate as a plaintiff in any class action.

14. Electronic Notices and Disclosures

By using the Services, you consent to receive communications from BoxLock electronically. Electronic communications shall be deemed to have been received by you and be legally effective.

15. Changes to the Terms of Service

BoxLock reserves the right to change these Terms of Service at any time. We will provide notice of material changes. Your continued use of the Services constitutes acceptance of the updated Terms of Service.

16. Third-Party Terms and Content

If you access third-party services, applications, or content through the Services, those terms will govern your use of those services. BoxLock is not responsible for third-party services or content.

17. Miscellaneous

These Terms of Service do not and are not intended to confer any rights or remedies upon any person other than you.

If any provision of these Terms of Service is found to be invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service.

No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term.

You may not assign these Terms of Service without the prior written consent of BoxLock, but BoxLock may assign these Terms of Service without restriction.

These Terms of Service and any other legal notices published by BoxLock on the Services shall constitute the entire agreement between you and BoxLock concerning the Services.
